1. About these Terms

These Terms and Conditions ("Terms") govern your access to and use of the Mudratrack website and the Mudratrack GST billing platform (together, the "Platform"), operated by Enerscript Technologies Pvt Ltd ("Mudratrack", "we", "us", "our"), a business registered in India at Growworks Business Center, Aundh, Pune, Maharashtra — 411007.

By creating an account, recharging your wallet, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

2. Eligibility

• You must be at least 18 years of age and legally capable of entering into a binding contract under the Indian Contract Act, 1872.
• If you use the Platform on behalf of a business or entity, you confirm you are authorised to bind that entity to these Terms.
• You are responsible for ensuring your GSTIN, business details, and customer data entered into the Platform are accurate and lawful.

3. Services Provided

Mudratrack is a Software-as-a-Service (SaaS) platform for Indian businesses. Our services are entirely digital and are delivered electronically through your online account. We provide:

• GST-compliant invoice creation and management
• Customer, item, and inventory records
• Payment recording, tracking, and outstanding dues management
• Business reports and GSTR-ready summaries
• e-Invoice (IRN) generation via authorised GST Suvidha Provider / IRP integrations
• e-Way Bill generation and management
• Invoice delivery to your customers over WhatsApp and email
• An in-app AI chat assistant for billing and product queries

We do not provide tax, legal, accounting, or financial advice. You remain solely responsible for your GST filings and statutory compliance.

4. Pricing and Wallet (All amounts in INR ₹)

The Mudratrack platform is free for life. There is no subscription fee, no setup fee, and no minimum monthly commitment. You pay only for the pay-per-use services you actually consume, on a prepaid wallet basis.

All prices are stated in Indian Rupees (INR / ₹) and are inclusive of applicable taxes unless stated otherwise on the payment page. Prices may be revised from time to time; any revision will be published on this page and on our pricing section, and will apply only to wallet usage after the effective date.

4.1 How the wallet works

• Pay-per-use services are funded from a prepaid wallet balance that you top up in advance.
• Wallet recharges are processed through our payment gateway partner, Razorpay. We do not store your card, UPI, or banking credentials.
• Each successful chargeable action deducts the corresponding amount from your wallet balance in real time.
• If an action fails on the Government portal or our provider's side, no amount is deducted. Any amount deducted for a failed action is auto-reversed to your wallet.
• You can view every wallet credit and debit in your account's transaction history.
• Wallet balance carries forward indefinitely while your account remains active and is not transferable to another account.

5. Your Account and Responsibilities

• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• You agree not to misuse the Platform, including: attempting unauthorised access, reverse-engineering, scraping, transmitting malware, generating fraudulent or fictitious invoices, or using the Platform for any unlawful purpose.
• You agree not to send unsolicited, misleading, or spam messages to recipients via our WhatsApp or email delivery features, and to comply with all applicable communication and data-protection laws.
• You must notify us immediately at hello@mudratrack.com of any suspected unauthorised use of your account.

6. Third-Party Services

The Platform relies on third parties, including the Government of India's Invoice Registration Portal (IRP) and e-Way Bill system, our GST Suvidha Provider, Razorpay for payments, and WhatsApp/email delivery providers. Availability of these services is outside our control. We are not liable for delays, downtime, rejections, or errors originating from these third parties, though we will make reasonable efforts to assist you.

7. Intellectual Property

All software, design, text, graphics, logos, and content on the Platform are owned by Mudratrack or its licensors and are protected by Indian and international intellectual-property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Platform for your own business purposes. Your business data remains yours.

8. Limitation of Liability

To the maximum extent permitted by law, Mudratrack shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Platform shall not exceed the total amount you have paid to us in the three (3) months immediately preceding the event giving rise to the claim.

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

9. Suspension and Termination

You may stop using the Platform at any time and request account closure by writing to hello@mudratrack.com. We may suspend or terminate your account with notice if you breach these Terms, engage in fraudulent activity, or where required by law. On termination, you may export your data for a period of 30 days. Treatment of any remaining wallet balance is governed by our Refund and Cancellation Policy.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of India. The courts at Pune, Maharashtra, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified via email or an in-app notice. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
